These terms and conditions (the "Terms") govern all B2B travel packages, itineraries and bookings sold through this online portal and otherwise provided by European Destination Management Oy, including its auxiliary brands DMC Helsinki, DMC Rovaniemi, DMC Stockholm, DMC Tromso, DMC Norway, DMC Estonia and DMC Tallinn (collectively "DMC").
These Terms apply exclusively to business-to-business transactions between DMC and the purchasing travel agency, tour operator or corporate client holding a portal account (the "Agent"). The end consumer travelling on the booked services is the "Passenger". The portal is for travel-trade use only; all rates shown are net and the Agent resells at its own prices.

1. Conclusion of the contract
1.1 Submitting a booking through the portal is a binding order: it authorises DMC to hold the necessary services at the price quoted in the portal at the time of submission, and these Terms apply from that moment.
1.2 A regular booking request becomes a booking proposal (quotation) prepared by DMC. A package marked "Instant booking" reserves the mapped inventory immediately upon submission; it remains subject to the payment terms below.
1.3 A booking is officially confirmed only after payment has arrived in DMC's bank account and DMC has issued a written booking confirmation. A detailed booking voucher, with the reservation number, booked products and itinerary, is provided closer to the Passengers' arrival date.
1.4 The Agent is strictly liable for all financial obligations incurred by DMC for services ordered through the Agent's portal account. If DMC secures services at the Agent's request before payment has fully cleared and the Agent subsequently cancels, the Agent remains 100% liable for all costs invoiced by DMC.
2. Pricing and invoicing
2.1 Portal prices are net B2B rates and include all known mandatory fees, taxes and the services explicitly listed in the package itinerary. The total shown in the portal at the moment of booking is the basis of DMC's invoice; where the portal shows a per-package payment schedule, that schedule applies.
2.2 Payment may be made by bank transfer (against a proforma invoice) or by credit card; an additional processing fee applies to credit-card payments.

3. Payment terms
3.1 All payments are due within 5 business days of the invoice issuance date, unless a different schedule is stated on the invoice or on the package's payment schedule in the portal.
3.2 The Agent must provide proof of payment (bank receipt) immediately upon transfer. DMC may release all held inventory and cancel the booking if payment confirmation is not received within the 5-day window.
3.3 Non-refundable deposits are strictly final: once a non-refundable payment is received, the associated services cannot be changed, modified or cancelled without penalty.
3.4 If the Agent fails to meet the payment schedule, DMC may cancel all services without refunding previously paid deposits. The Agent is liable for all collection costs, legal fees and penalty interest under the Finnish Interest Act resulting from late payment.
4. Cancellations and service availability
4.1 Cancellation policies are specific to each booking, property and season; the exact cancellation windows and penalties are provided to the Agent in writing at the time of booking. Some packages close for sale a stated number of days before departure and cannot be booked or amended inside that window.
4.2 All cancellation requests must be sent by email during Finnish office hours (09:00–17:00 GMT+2) to sales@eudmc.com. Bookings cannot be cancelled through the portal itself.
4.3 If a specific accommodation, transport or service becomes unavailable after the contract is concluded, DMC may substitute it with an alternative of equivalent quality. If no equivalent alternative is available, DMC may cancel that portion of the contract and refund the Agent for the unavailable service, without liability for any additional compensation, damages or losses.
5. Agent responsibilities and indemnification
5.1 Passenger information: the details entered in the portal at booking — including the main passenger's name and the ages of all travellers — must be accurate; the Agent must supply full names, dates of birth and nationalities of all Passengers immediately upon DMC's request. Local suppliers may reject bookings with missing or inaccurate Passenger data, for which DMC bears no liability.
5.2 Travel documents and insurance: the Agent is solely responsible for ensuring that all Passengers hold valid passports, visas and adequate travel and medical insurance. DMC is not responsible for Passenger travel insurance; the Agent must explicitly inform Passengers that proper insurance coverage is their own responsibility.
5.3 Indemnification: the Agent shall indemnify, defend and hold DMC harmless against any claims, lawsuits or demands by Passengers regarding service expectations, flight delays, injury or loss of luggage, except in cases of gross negligence directly committed by DMC.
5.4 Communication: the Agent is strictly responsible for communicating all terms, cancellation policies, itinerary changes and meeting times to the Passenger. DMC assumes no liability for missed departures or no-shows resulting from the Agent's failure to relay information.
6. Force majeure
6.1 DMC is not liable for any failure to perform its obligations due to unavoidable and extraordinary circumstances beyond its control, including but not limited to airspace restrictions, war, acts of terrorism, pandemics, government mandates, extreme weather and natural disasters.
6.2 In the event of force majeure, DMC is not obliged to refund cancelled or interrupted services. The Agent assumes the financial risk and must rely on its own or the Passenger's travel insurance to recover lost funds.
7. Liability and local suppliers
7.1 DMC acts as an intermediary organizer for local suppliers (hotels, transport companies, activity providers). While DMC rigorously vets its partners, DMC is not directly liable for the operational failures, accidents or negligence of these independent local suppliers.
7.2 Activity constraints: the Agent must inform Passengers that natural phenomena (for example the Northern Lights) are unpredictable and visibility is never guaranteed, and that all drivers on snowmobile safaris must be at least 18 years old and hold a valid driver's licence.
7.3 Limitation of liability: DMC's total liability for any claims, damages or losses arising out of or relating to a booking shall not exceed the total amount paid by the Agent to DMC for the specific booking in dispute. DMC shall not be liable for any indirect, incidental or consequential damages.
8. Complaints and dispute resolution
8.1 Any complaints regarding services must be raised by the Passenger or the Agent to DMC immediately on the spot, allowing DMC the opportunity to rectify the situation.
8.2 The Agent must notify DMC of the complaint in writing within 24 hours of the incident. Complaints filed after the trip has concluded, without prior on-site notification, will not be considered for compensation.
8.3 These Terms are governed by and construed in accordance with the laws of Finland. Any disputes shall be settled under the exclusive jurisdiction of the District Court of Helsinki, Finland.
9. Data protection (GDPR)
9.1 DMC processes all personal data in strict compliance with the EU General Data Protection Regulation. Data entered in the portal is collected solely for executing travel arrangements, is shared only with the third-party suppliers necessary to deliver them, and is stored on servers located strictly inside the EU. 10. Confidentiality
10.1 All net rates, pricing structures and business terms shown in the portal or otherwise provided by DMC are strictly confidential. The Agent shall not disclose, publish or share them with any third parties, competing travel agencies or the general public.
11. Marketing and promotional material
11.1 DMC reserves the right to use the Agent's company name, logo and website link in DMC's marketing materials and client portfolios, unless the Agent explicitly requests otherwise in writing.
12. General provisions
12.1 Severability: if any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force.
12.2 Waiver: DMC's failure to enforce any right or provision of these Terms does not waive future enforcement of that right or provision.
12.3 Amendments: any modifications to a confirmed booking or to these Terms must be made in writing and agreed by both parties.
13. Entire agreement
13.1 By submitting a booking through the portal or otherwise approving a booking governed by these Terms, the Agent acknowledges that the booking is bound exclusively by this agreement, which cancels and supersedes all previous agreements, understandings or contracts between the Agent and DMC.
These Terms and Conditions are approved by CEO Marko Riabkov and are effective as of June 3, 2026.
